Terms of Service

By downloading, installing, or using Agency, you agree to these Terms. Our Privacy Policy explains how we handle information. If you do not agree, do not use Agency.

You must be at least 18, able to form a binding contract, and the holder of the Robinhood account you connect. Robinhood decides who may open an Agentic account and where it can be used. If you use Agency for a company or other entity, you represent that you can bind it to these Terms.

Agency is software that runs AI agents on your Mac. Each agent follows a plan you describe and confirm, manages the cash and holdings you assign to it, reviews them on a schedule, and places orders in your Robinhood Agentic account through the interface Robinhood provides for AI agents.

Rallies operates the services the app relies on: access to AI models, market research data, account verification, and credits. Your plans, chats, and Robinhood connection are stored on your Mac.

Agency does not hold your money or securities, move money into or out of Robinhood, or provide brokerage, banking, or custody services. Robinhood is your broker and custodian, and its agreements govern your account.

When you confirm a plan and give an agent cash or holdings, you authorize that agent to place, change, and cancel orders in your Agentic account on its schedule, without asking you before each trade, within its plan and the assets assigned to it. Trades you ask for in a chat are sent only after you tap Confirm.

You can edit a plan, pause reviews, liquidate or delete an agent, or disconnect Robinhood at any time. None of these cancels orders already at Robinhood; cancel any you do not want.

You are responsible for the plans you confirm, for reading your agents' notes and trades, and for checking your account against Robinhood's records.

Blotter Inc. is not a registered investment adviser or broker-dealer, and using Agency does not create an advisory, fiduciary, or brokerage relationship with us.

Plans, first looks, notes, and chat answers are generated by AI models from your instructions and the data available to them. They are not personalized advice from a human professional, may not reflect your full financial situation, goals, or taxes, and are not reviewed by a person before they reach you or before an agent acts on them.

AI can be wrong. It can misread data, rely on stale or incorrect information, reach inconsistent conclusions, or trade in ways you would not. Consider a qualified professional for investment, tax, or legal decisions. These statements describe the limits of the service; they do not waive any duty applicable law imposes on us.

• Investing involves risk, including the loss of everything an agent manages. No plan, first look, or past result guarantees a return or limits a loss.
• Orders can be delayed, rejected, partially filled, or filled at prices different from what an agent expected. Quotes and research data may be delayed, incomplete, or wrong. Stock orders fill only in regular market hours.
• Agents act only at their reviews and do not watch prices in between. Orders resting at Robinhood, such as limit and stop orders, can execute while Agency is not running.
• The limits Agency enforces, such as an agent spending only the cash it was given and selling only what it holds, are software controls. They reduce risk but cannot remove it, and software can fail.

Agents run only while Agency is open and your Mac is awake and online, and one Mac runs an account's agents at a time. Reviews may not run, or may run late, because of sleep, network or service outages, Robinhood outages or restrictions, running out of credits, or errors. We do not guarantee that any review, order, or notification happens at a particular time or at all.

Robinhood is a separate company. Your brokerage account, your Agentic account, and the execution of orders are governed by Robinhood's agreements, fees, and decisions, including any decision to restrict an account or reject an order.

AI model providers, market data providers, Stripe, and hosting providers help us run Agency, and their services may carry their own terms. We do not control Robinhood or other third parties and are not responsible for their availability or conduct, except as applicable law provides.

The app and chatting are free. Each first look and each review uses one credit, and new accounts receive the free credits shown in the app. You can buy more in the app at the price shown at checkout; Stripe processes the payment. Prices may change for future purchases.

Credits are a prepaid right to use the service, not money or a deposit. They have no cash value, cannot be transferred, and apply to the Robinhood account they were bought for. For billing questions or refunds, email agency@rallies.ai with your receipt. Nothing here limits refund or cancellation rights that applicable law gives you.

You keep ownership of what you write, including plans, instructions, and messages. You grant Rallies a non-exclusive license to host, process, and transmit it, and the account information Agency uses, to provide, secure, support, and improve the service. That includes sending it to AI providers to generate responses, to Robinhood and other providers to verify your account and prevent fraud, and to the other service providers described in the Privacy Policy.

We do not sell your personal information. We may create deidentified or aggregated information from the use of Agency that does not identify you or your account, and we may use and share it for any lawful purpose, including research, analytics, and developing products and services, during and after your use of Agency.

We may use feedback you give us without obligation to you.

We grant you a personal, revocable, non-exclusive, non-transferable license to install and use Agency on Macs you control to manage your own accounts. You may not:

• Use Agency in violation of law or of Robinhood's terms, or on accounts you are not authorized to trade.
• Interfere with or overload the service, or get around credits, rate limits, or security controls.
• Reverse engineer, decompile, copy, or redistribute Agency, except as applicable law permits.
• Resell access to the service or its data, or use Agency to provide investment services to others.

Agency's software, design, and content are owned by Blotter Inc. or its licensors. These Terms grant no rights beyond the license above.

Agency updates itself. We may change, add, or remove features, or discontinue the service, with notice where the law requires it. We may update these Terms; we will post the new version with its date and give notice of material changes as required. Using Agency after a change takes effect means you accept it.

You can stop at any time: pause or delete your agents, disconnect Robinhood, uninstall the app, and ask us to delete what Rallies keeps. We may suspend or end access for violations of these Terms or for security or legal reasons, with notice where appropriate. Suspension or termination does not cancel orders already at Robinhood. Provisions that by their nature should survive termination will survive.

To the extent the law permits, Agency is provided "as is" and "as available," without implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not guarantee uninterrupted operation, error-free output, or investment results. Nothing in these Terms excludes rights or duties that cannot lawfully be excluded, including under securities and consumer-protection law.

Where the law permits, Blotter Inc. and its affiliates, personnel, and licensors are not liable for indirect, incidental, special, or consequential damages, or for investment losses, arising from your use of Agency. Our total liability for claims relating to the service is limited to the greater of $100 or the amount you paid us in the 12 months before the event giving rise to the claim.

These limits do not apply to fraud, intentional misconduct, gross negligence, or liability the law does not allow us to limit, and they do not affect your right to contact a regulator.

To the extent the law permits, you agree to indemnify Blotter Inc. for third-party claims and reasonable resulting costs caused by your intentional unlawful misuse of Agency. This does not cover ordinary use, investment losses from using Agency, or harm caused by our own misconduct.

These Terms are governed by Delaware law, except where the mandatory law of your place of residence applies. Disputes may be brought in the state or federal courts in Delaware, except where applicable law requires another forum.

These Terms are the whole agreement between you and us about Agency. If a provision is unenforceable, the rest still applies, and not enforcing a provision is not a waiver of it. You may not transfer these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets.
