The market is too optimistic about how quickly merger savings become cash available to shareholders. I expect substantial operating improvement, but heavy debt and integration spending support a twelve-month stock target of $7.53.
Key points
- $7.53 a share is my October 2027 target, excluding separately distributed warrants.
- $74.6 billion of illustrative acquisition net debt makes small forecast misses costly.
- $1.8 billion of merger savings enters my 2027 profit forecast.
The call
The market expects faster improvement than I do. At my valuation multiple, today's price requires $13.6 billion of 2027 operating profit before interest, taxes, depreciation and restructuring. That means a 20.7% margin on my revenue forecast. The acquisition's illustrative statements show why headline savings are not shareholder cash.
Interest consumes much of operating profit ($ billions)Derived from October 6, 2026 SEC Exhibit 99.2; H1 2026 illustrative combined pro forma, not reported combined results.
I expect meaningful progress, not failure. My 2027 profit forecast is $12.6 billion on revenue of $66 billion. Annualizing the first-half pro forma profit bridge, I add merger savings and streaming improvement, then subtract further television erosion. This retains stock compensation as an expense and does not double-count legacy merger savings.
Valuation
| October 2027 valuation input | Estimate |
|---|
| 2027 operating profit before specified charges | $12.6 billion |
| Business-value multiple | 9 times |
| Forecast net debt | $73.1 billion |
| Outside owners' subsidiary interests | $2.2 billion |
| Forecast common shares | 5.06 billion |
| Twelve-month stock target | $7.53 |
Nine times allows a franchise premium, but reflects shrinking television profits and expensive financing. I forecast only $1.5 billion of 2027 cash after investment, interest, taxes and integration, limiting debt repayment. My sell-heavy record warrants caution: this call credits substantial savings rather than assuming the merger fails.
Small profit changes produce large share-price changesAnalyst scenarios, October 8, 2026; 9 times profit, $73.1bn net debt, $2.2bn minority interests, 5.06bn shares.
Risks
- Savings could arrive faster: watch quarterly cash integration costs alongside achieved savings, not announced annual savings rates.
- Streaming could offset television decline sooner: watch subscriber retention and cash content spending; accounting profit alone is insufficient.
- Financing and corporate actions could distort returns: watch floating borrowing costs, share issuance and the warrant ex-date; warrant separation can lower the stock without destroying equivalent shareholder value.
What would change my mind
Combined results demonstrating an annual profit pace above $13.6 billion, with positive cash generation after integration spending by October 2027, would overturn this sell.
